Official Rules

 

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN THE CONTEST. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY LAW. THIS CONTEST IS INTENDED FOR PLAY IN THE UNITED STATES ONLY AND WILL BE GOVERNED BY U.S. LAW.  DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN THE UNITED STATES AT THE TIME OF ENTRY.  OPEN TO LEGAL RESIDENTS OF 48 UNITED STATES AND THE DISTRICT OF COLUMBIA, EXCLUDING HAWAII AND ALASKA.

  1. OVERVIEW: Habit Burger & Grill BURGS-4-BUDS Campaign Contest (the “Contest”) allows nominators (the “Entrant”) to nominate a friend (the “Nominee”) for the chance to win a Prize (as defined below). The Entrant and the Nominee can be the same individual.
  2. CONTEST PERIOD: The Contest begins at 12:00:00 AM Pacific Standard Time (“PST”) on January 8, 2025, and ends at 11:59:59 PM PST on March 12, 2025 (“Contest Period”). The official timekeeping device will be Sponsor’s computer and/or as specified below.
  3. SPONSOR: The Contest is sponsored by The Habit Restaurants, LLC, 1 Glen Bell Way, Irvine, CA 92618 (the “Sponsor”).
  4. ELIGIBILITY: The Contest is open only to legal residents of the forty-eight (48) United States and the District of Columbia (excluding residents of Alaska and Hawaii) who are eighteen (18) years of age or older at the time of entry. Void in Alaska and Hawaii and where prohibited by law. Employees, contractors, directors, agents and officers of Sponsor and its parent, affiliates, subsidiaries, distributors, sales representatives, retailers, and advertising, promotion and judging agencies, and all other service agencies involved with the Contest, and members of the immediate family (spouse, parent, child, sibling and their respective spouse(s)) and household members of each such employee are not eligible to participate, as either Entrant or Nominee. For purposes of the Contest, Entrant’s e-mail address will be the e-mail address provided upon entry into the Contest and Entrant’s phone number will be the phone number provided upon entry into the Contest. Eligibility requirements apply to both Entrant and Nominee.
  5. AGREEMENT TO OFFICIAL RULES: By participating, Entrant and Nominee agree to these Official Rules, Sponsor’s Terms of Use, found at https://www.habitburger.com/terms-conditions, and the decisions of the Sponsor, which are final and binding in all matters relating to this Contest. Winning a Prize (as defined below) is contingent upon fulfilling all requirements set forth herein.
  6. TO ENTER: During the Contest Period, Entrant may enter the Contest through the Hotline, Microsite, or social media, as outlined herein. By submitting an entry as set forth herein, eligible Entrants will receive one (1) entry into the Contest. Limit one (1) entry per Entrant, regardless of the method of entry. Any entry with incomplete information may be considered void as determined in Sponsor’s sole discretion. Entries must be received within the Contest Period to be considered. Any attempt to submit more than the maximum number of entries using multiple/different mobile phone numbers, email addresses, accounts, identities, or any other methods may disqualify Entrant and forfeit any and all Prizes won, in Sponsor’s sole discretion. If an Entrant submits more than one entry, Sponsor will only judge the first entry submitted in the Contest. All other entries will be void. Entries generated by a robotic, programmed, script, macro or other automated means will be disqualified. Entrants must have a valid e-mail address to enter. By submitting an Entry, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation, that Sponsor is free to disclose or otherwise disclose the ideas contained in the entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your entry, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. By entering, Entrant is entering on behalf of Nominee. Only Nominee will be eligible to receive the Prize.

    By entering, Entrant represents and warrants they have (i) nominated an eligible Nominee; (ii) obtained permission from Nominee to submit Nominee’s information; and (iii) obtained permission from Nominee for Nominee to be bound by these Contest Rules.

    1. Hotline Method of Entry: To enter by using the hotline, call 1-844-BURGS-4-BUDS and provide your name, your email address and a short description of an eligible Nominee who has not tried a Habit burger and the reason as to why they have not tried it.
      1. Calling the Hotline. By calling, you agree to receive text messages and calls from and on behalf of Sponsor, relating to the Contest, and to the phone number from which you called. Call frequency may vary. Data rates may apply. Calls may be automated. Consent to receive calls is not a requirement or condition of purchase or participation in the Contest. Not all wireless carriers participate.  The Sponsor’s wireless provider’s computer is the official time keeping device for this entry method; proof of call does not constitute proof of delivery or entry.
    2. Microsite Method of Entry: To enter online, visit [insert URL] (the “Microsite”) and submit the provided form with the required information prompted by the Microsite (including your name, email, and a short description of an eligible Nominee who has not tried a Habit burger and the reason as to why they have not tried it).
    3. Social Media Method of Entry: To enter via social media, visit one of the following posts and in a comment: (i) tag an eligible Nominee who has not tried a Habit burger, and (ii) provide the reason as to why they have not tried it. The person posting the entry on the social media platform will be deemed the Entrant.
      1. Entry via Instagram: Visit [insert post link] and comment on the post, as detailed above. To enter using this method, you must have a non-private Instagram account and have your account privacy setting to “Off”. An Instagram account can be opened for free by downloading the Instagram application from the Apple store or Google Play. Instagram Entries must comply with Instagram Terms of Use (https://instagram.com/about/legal/terms/).
      2. Entry via Facebook: Visit [insert post link] and comment on the post, as detailed above. To comment on a Facebook post, you must have a Facebook account. If you do not have a Facebook account and would like to create one for free, you may visit facebook.com or download the free Facebook app to your mobile device at either the Apple® App Store or the Google® Play store. Facebook Entries must comply with Facebook Terms of Service (https://www.facebook.com/terms.php/).
      3. Entry via TikTok: Visit [insert post link] and comment on the post as detailed above. To comment on Tik Tok, you must have a TikTok account. If you do not have a TikTok account, and you would like to create one for free, you may visit TikTok.com or download the free TikTok app to your mobile device at either the Apple® App Store or the Google® Play store. TikTok Entries must comply with TikTok Terms of Service (https://www.tiktok.com/legal/terms-of-service-us?lang=en).
  7. ENTRY CONTENT. Entry, and all content therein (“Content”), must comply with the following content guidelines to be eligible:
    1. Content must describe why Entrant believes eligible Nominee has never had a Habit burger;
    2. Content must be written by the Entrant;
    3. Content must be in English;
    4. Content must be original and unpublished;
    5. Content cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;
    6. Content cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
    7. Content cannot be obscene or offensive, endorse any form of hate or hate group;
    8. Content cannot defame, misrepresent or contain disparaging remarks about Sponsor or its products, or other people, products or companies;
    9. Content cannot contain trademarks, logos, trade dress or copyrighted materials owned by third parties other than Sponsor, or advertise or promote any third-party brand or product of any kind (other than those of Sponsor), without permission, or contain any personal identification of third parties other than Sponsor;
    10. Content cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate;
    11. Content cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission;
    12. Content cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media) without permission; Sponsor does not permit the infringement of others’ rights and any use of materials not original to the entrant (except copyrighted materials owned by Sponsor) is grounds for disqualification from the Contest. Do not copy your favorite movie, book or photo or include materials, images, graphics, music or trademarks belonging to any third parties or incorporate the names, voices, likeness or personas of any party other than yourself unless you have obtained all rights necessary to permit you to use same in connection with your Entry and grant the rights herein granted to Sponsor; and
    13. Content cannot depict, and cannot itself, be in violation of any law.
  8. WINNER SELECTION: On or around March 19, 2025 (“Selection Date”), Sponsor will choose one hundred (100) potential winner(s) from among the eligible entries submitted during the Contest Period, as determined by Sponsor in its discretion. The potential winning entry will be selected based on originality and creativity, as determined by Sponsor in its sole discretion. If a potential winner is found not to be eligible or not in compliance with these Official Rules, or if Prize notification or any Prize is returned as undeliverable, or if potential winner cannot collect Prize within designated time, the potential winner will be disqualified. In the event of a tie, the tie breaker will be based upon the highest score in the first judging criteria, continuing thereafter to the second criteria as needed to break the tie. In the event a tie remains, the tie breaker will be based on the entry submitted first, based on Sponsor’s official timekeeping device, in its sole discretion. If a Prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute Prize with another Prize of equal or greater value.  Should multiple users of the same e-mail account enter the Contest and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said e-mail account at the time of entry will be considered the Entrant.  “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address.  For social media entries, the e-mail account associated with the selected platform account, if any, will be the relevant email for purposes of these Rules.
  9. WINNER NOTIFICATION: Sponsor will notify the potential winner(s) by email to the email address or by phone to the phone number provided during entry within twelve (12) days of the Selection Date. If Entrant entered via social media, Sponsor will notify each potential winner by direct message to the Entrant’s social media account within twelve (12) days of the Selection date. Sponsor shall have no liability for any winner notification that is not received by a potential winner for any reason. Potential winners are subject to verification of eligibility. Both Entrant and Nominee must verify eligibility and may be required to complete, sign, and return an Affidavit of Eligibility/Liability Release, any other documents requested by Sponsor, and, where lawful, a Publicity Release, within fourteen (14) days of attempted notification, as described below, or Prize may be forfeited If any potential Prize winner is found to be ineligible, or if they have not complied with these Official Rules or decline the Prize for any reason prior to award, such Prize will be forfeited, and an alternate potential winner may be selected.   Sponsor, in its sole discretion, will attempt to contact up to one (1) potential winner(s) of a Prize in accordance with the above procedure, after which the Prize in question may go unawarded if it remains unclaimed.
  10. PRIZE: One hundred (100) winners will receive either (i) one (1) Habit promotional code, to be emailed to the winners, redeemable for a Double Char burger, with cheese, at participating Habit Burger locations, or (ii) a Double Char burger, with cheese (“Prize”). ARV of Prize: $8.15 USD; total ARV of all Prizes to be awarded: $815.00 USD. LIMIT: One Prize per person.  The Prize is awarded, non-transferable and not redeemable for cash.  Prize is subject to terms and conditions set thereon.  Winner is solely responsible for all federal, state and local taxes on the Prize and any other fees or costs associated with the Prize they receive, regardless of whether it, in whole or in part, is used. Any portion of Prize not used by winner is forfeited and no cash or other substitute will be offered or permitted, except in the sole discretion of Sponsor.   The ARV of the Prize is based on available information provided to Sponsor and the value of any Prize awarded to a winner may be reported for tax purposes where required by law. The winners may be required to provide Sponsor with a valid social security number or tax identification number before the Prize will be awarded for tax reporting purposes.
  11. PUBLICITY: Except where legally prohibited, acceptance of the Prize constitutes permission to the Sponsor and its agents to use the winning Entrant’s and Nominee’s names and/or likenesses, images, Prize information, photographs, voices, comments and other indicia for purposes of advertising and publicity in any and all media now known or hereinafter invented without territorial or time limitations and without further notice, permission, or compensation, unless prohibited by law. If requested, winning Entrant and Nominee will sign and return a publicity release and such other documents as may be required pursuant to these Official Rules.
  12. GRANT OF RIGHTS: By submitting an entry, Entrant hereby grants Sponsor and its agents the irrevocable, perpetual, royalty free, worldwide rights to use, reproduce, publish, edit, market, store, adapt, assign, sell, dispose of, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, embed, have transmitted, create derivative works based upon, modify, and promote the entry in perpetuity, for editorial, advertising, commercial, promotional and all other purposes in any and all media (including embedding the link to your entry on Sponsor-affiliated websites, and/or posting your entry on other Sponsor-selected media and/or in Sponsor emails) without consideration from Entrant.

    By submitting an entry, you hereby grant to Sponsor and its designees the right to use your and Nominee’s name, likeness, and other rights personal to you and Nominee in connection with Contest, and for advertising, publicity and promotional purposes for Sponsor throughout the universe in perpetuity in any and all media, including social media now or hereafter known, without your approval or further notice or compensation to you. By submitting an entry in the Contest, you hereby warrant and represent that your entry conforms to the entry requirements set forth herein.

    Submission of any entry further constitutes the Entrant’s consent to irrevocably assign and transfer to the sponsor any all rights, title and interest in the entry, including, without limitation, all copyrights.

    BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT THEIR ENTRY MAY BE POSTED ON SPONSOR’S WEBSITE OR SOCIAL MEDIA, IN SPONSOR’S DISCRETION. ENTRIES POSTED TO THE WEBSITE ARE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER.  Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Entrants.

  13. GENERAL CONDITIONS: Sponsor may and reserves the right, in its sole discretion, to: (i) void any suspect entries; (ii) disqualify an entry for any or no reason; (iii) disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other contest or in an unsportsmanlike or disruptive manner; (iv) waive the Contest entry requirements set forth herein; (v) during or upon completion of the Contest Period, request that any Entrant resubmit their entry which fails to comply with the Contest entry requirements prior to any judging period; (vi)  cancel or terminate the Contest should fraud, virus, bugs or other causes beyond the control of Sponsor corrupt the administration, security or proper participation in Contest; (vii) modify or suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules;   (viii) in the event of cancellation, award the applicable Prize in accordance with the winner selection criteria set forth above from among all eligible, non-suspect entries received prior to cancellation, as deemed fair.Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserve the right to seek damages from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
  14. RELEASE OF LIABILITY: By participating in the Contest, Entrants agree to release and hold harmless Sponsor and its parent company, subsidiaries, affiliates, advertising/promotion agencies, and each of their shareholders, partners, members, directors, officers, employees, franchisees, and agents, Meta Platforms, Inc. or ByteDance Ltd. (“Released Parties”) (a) from all liability, loss, or damage incurred with respect to the awarding, receipt, possession and/or use or misuse of any Prize, including any traveling related thereto; (b) against any claim or cause of action, including, but not limited to, personal injury, illness,  death, or damage to or loss of property arising out of participation in the Contest or receipt or use or misuse of the Prize, including any travel related thereto; and (c) for claims based on publicity rights and intellectual property rights, defamation or invasion of privacy.The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of the Entries; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in cellular networks, phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical, electronic or human error which may occur in the administration of the Contest or the processing of entries or transmission or receipt of phone entries, including but not limited to inoperable, missing or damaged links; (5) late, lost, undeliverable, incomplete, damaged, illegible, mutilated, destroyed, invalid, unintelligible, misdirected or stolen entries/mail; (6) with respect to computer entries, for computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmission or network connections that are human or technical in nature; (7) any changes of email address, mailing address, and/or telephone number of Entrants; (8) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or receipt or use or misuse of any Prize; and (9) any lost or stolen Prize.  No more than the stated number of Prizes will be awarded.  In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of Prizes by judging all legitimate, un-awarded, eligible Prize claims.

    WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS CONTEST INCLUDING THE PRIZES, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

  15. DISPUTES: Except where prohibited, all Entrants agree that: (1) any and all disputes, claims and causes of action arising out of or connected with the Contest or any Prize shall be resolved individually, without resort to any form of class action, and exclusively by the federal or state courts located in the State of California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will Entrants be permitted to obtain awards for, and Entrants hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California without giving effect to any conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California. This Contest is subject to federal, state and local laws and regulations.
  16. PRIVACY: All information submitted to Sponsor as part of a Contest will be treated in accordance with Sponsor’s privacy policy, available at https://www.habitburger.com/privacy-policy and these Official Rules. If you are selected as a winner, your personal information may be included on a publicly-available winners’ list.
  17. WINNERS’ LIST: For the names of the winners, mail a 3” x 5” card to 1 Glen Bell Way, Irvine, CA 92618. Requests for winners’ list must be received by June 10, 2025.
  18. BINDING ARBITRATION: Any controversy or claim arising out of or relating to the Contest shall be settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably convenient for claimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedures”) then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply California law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty days after the demand for arbitration is made, unless further extended by mutual agreement of the parties.

    THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS CONTEST IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.

    BY PARTICIPATING IN THE CONTEST, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY ENTRANT.

    This Contest is in no way sponsored, endorsed or administered by, or associated with, Meta Platforms, Inc. or ByteDance Ltd. You understand that you are providing your information to Sponsor and not to Meta Platforms, Inc. or Byte Dance Ltd. The information you provide will only be used as provided in Sponsor’s privacy policy, located at https://www.habitburger.com/privacy-policy/. Any questions, comments or complaints regarding this Promotion shall be directed to Sponsor and not to Meta Platforms, Inc. or ByteDance Ltd.

Abbreviated Rules
